Terms of Service

1. Agreement

These Terms of Service (“Terms”) are a binding agreement between you and Galadriel Labs (“ModelLane,” “we,” “us,” or “our”), a company domiciled in New York, United States. By accessing or using the ModelLane website (modellane.app) or the ModelLane routing service (the “Service”), you agree to these Terms and our Privacy Policy. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.

2. The Service

ModelLane is an AI inference control plane. It presents an OpenAI-compatible endpoint that routes requests to the model providers you configure, according to the policies (Lanes) you define. ModelLane does not itself provide the underlying models. By default the Service is bring-your-own-key (BYOK): you supply your own provider credentials and pay your model providers directly. ModelLane charges for routing, not for tokens.

3. Accounts and API keys

You are responsible for maintaining the confidentiality of your account and API keys and for all activity that occurs under them. You must provide accurate information and keep it current. You may not share a single account or API key across unaffiliated users or organizations, and you may not resell or proxy access to the Service except under an explicit reseller or enterprise agreement.

4. Your content

As between you and ModelLane, you retain all rights in the prompts, completions, and other content you submit through the Service (“Your Content”). You grant us a limited license to use Your Content solely to operate the Service, including routing requests, enforcing your policies, and preventing abuse. We do not train models on Your Content and we do not sell it. Your Content may be processed by the model providers you select under their own terms.

5. Third-party providers

When you route requests to a model provider, that provider is a third party and its own terms, pricing, and privacy practices apply to your content. You are responsible for maintaining any accounts or agreements required by your providers and for complying with their terms. ModelLane is not responsible for the availability, accuracy, or behavior of third-party providers.

6. Acceptable use

You may not use the Service to:

• Violate any law or regulation, or infringe the rights of others.
• Generate or distribute content that is unlawful, abusive, or designed to deceive or defraud.
• Attempt to gain unauthorized access to the Service, other users’ accounts, or third-party systems.
• Introduce malicious code, or probe, scan, or test the vulnerability of the Service in a way that harms it or others.
• Bypass rate limits, quotas, or other usage controls, or interfere with the availability or security of the Service.

We may suspend or terminate access for accounts that violate these Terms, and we may remove content that violates them.

7. Fees and billing

Fees for the Service are described on the Pricing page. You are billed according to the plan you select, plus any applicable overage. You remain responsible for the fees charged by your model providers for the requests ModelLane routes to them. Unless otherwise stated, fees are non-refundable.

8. Plans, changes, and termination

You may change or cancel your plan through your account, subject to the billing period. We may modify the Service or its features at any time. Either party may terminate your account with notice, subject to any minimum term in an applicable enterprise agreement. Upon termination, your right to use the Service ends and, subject to our legal obligations, your data is handled as described in the Privacy Policy.

9. Data use and privacy

Our collection and use of data is described in the Privacy Policy. We do not use your prompts or completions to train models. Customer data that is personal data is processed under the Data Processing Addendum where applicable.

10. Service levels

The self-serve plans do not include a service level agreement. Enterprise customers may receive contractual service levels under a separate agreement. We use reasonable efforts to keep the Service available and secure, but we do not guarantee uninterrupted or error-free operation.

11. Intellectual property and feedback

ModelLane and its related software, documentation, and branding are owned by us or our licensors and are protected by applicable law. If you provide feedback, you grant us a perpetual, irrevocable, royalty-free license to use it without restriction, and without compensation to you.

12. Disclaimer of warranties

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that routed results will be accurate or suitable for your use.

13. Limitation of liability

To the maximum extent permitted by law, ModelLane will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or revenue, arising out of or relating to these Terms or the Service. Our total aggregate liability will not exceed the amount you paid us for the Service in the twelve months before the claim, or one hundred dollars if no amounts were paid.

14. Indemnification

You will defend and indemnify us from any third-party claim arising out of your use of the Service, your content, or your breach of these Terms, including reasonable legal fees.

15. Confidentiality and security

We implement safeguards described in the Trust Center and Security page. You are responsible for securing your own credentials and for the security of your application.

16. Compliance and export

You are responsible for complying with all laws applicable to your use of the Service, including export controls and sanctions, and for ensuring that content you route does not cause us or our providers to violate those laws.

17. Changes to these terms

We may update these Terms from time to time. We will post the updated Terms on this page and update the “Last updated” date. For material changes, we will provide additional notice before they take effect. Your continued use after the effective date constitutes acceptance of the updated Terms.

18. Governing law and disputes

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any dispute arising out of these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in New York.
